3. The Governing Service Agreement

3.1 Primacy of the Service Agreement

Any and all commercial, operational and legal aspects of the relationship between VARCO and its clients — including but not limited to scope of services, commission rates, payment terms, performance metrics, confidentiality obligations, intellectual property rights, liability, termination and dispute resolution — are exclusively governed by the individual written Service Agreement concluded between VARCO and the client.

In the event of any conflict or inconsistency between these Terms and a signed Service Agreement, the Service Agreement shall prevail in all respects.

3.2 No Implied Contractual Relationship

The use of varco.sale — including submitting any form, requesting information or attending a discovery call — does not give rise to any implied contractual relationship, agency relationship, partnership or joint venture between the User and VARCO.

3.3 No Guarantee of Results

VARCO provides sales outsourcing services on a performance-based model. However, nothing on this Website guarantees, represents or warrants that any specific level of revenue, number of closed deals, number of calls made, or any other commercial outcome will be achieved. All performance expectations are addressed exclusively in the applicable Service Agreement.

3.4 Lead Generation

varco.sale makes clear that VARCO does not provide lead generation services. Clients are required to provide their own leads or engage a separate lead generation partner. This operational requirement is set out in detail in the applicable Service Agreement and is not a binding term arising from use of this Website.

4. Intellectual Property

4.1 Ownership
